Navoka Agent Terms

Version 1.0 · October 18, 2026

1. Who we are and what these terms cover

1.1 Navoka is a software service operated by Wirex Holdings Limited, a company registered in England and Wales, company number 12323130, registered office 9th Floor, 107 Cheapside, London, EC2V 6DN, United Kingdom ("we", "us"). Contact: support@navoka.com.

1.2 These terms govern your use of the Navoka agent (the "Agent"), including the Navoka chat bot on Telegram and other messaging channels, the Navoka connectors for third-party AI assistants (such as ChatGPT, Claude and Grok), the Navoka web interface and navoka.com (together, the "Service").

1.3 The Service is software, not a financial service. Any account, IBAN, card, payment, transfer, currency exchange, stablecoin or trading service you access through the Agent is provided by a separate Wirex group company (the "Provider") under the Provider's own terms, which you are asked to accept during onboarding (the "Provider Terms"). The Provider, not us, holds your funds, issues your card and executes your payments. If these terms and the Provider Terms conflict on a matter relating to a regulated service, the Provider Terms prevail.

1.4 By using the Service you agree to these terms. If you do not agree, do not use the Service.

2. Eligibility and access

2.1 You must be at least 18 and legally able to enter into a contract. You may use the Service only for yourself or for a business you are authorized to bind.

2.2 You access the Service through a messaging platform or a third-party AI assistant. Those platforms have their own terms and privacy policies, which we do not control. What a platform retains from your conversations is governed by that platform, not by us.

2.3 You are responsible for keeping your messaging account, assistant account and any device used to approve payments secure. Anyone who can use them can instruct the Agent as you.

3. How the Agent works

3.1 Instructions. Messages you send to the Agent, directly or through a connected assistant, are your instructions. We may act on an instruction that comes from your connected account as if it came from you.

3.2 Policy. Before the Agent can spend, you set a policy: budget, per-transaction ceiling, approval threshold, allowed merchants and payees, countries, categories and a kill switch (the "Policy"). The Agent can read the Policy but cannot change it. Only you can change it, through the limits screen or an explicit confirmation bound to your identity. You are responsible for the Policy you set.

3.3 Held actions. An action outside the Policy is held and shown to you with the reason. Nothing moves until you approve. An approval you give is your instruction to the Provider.

3.4 Execution. Once you or the Policy authorize an action, the Agent passes the instruction to the Provider. Execution, settlement, reversals, chargebacks, fees and limits are governed by the Provider Terms. We do not guarantee that the Provider will execute any instruction.

3.5 Stop. You can pause the Agent at any time with the kill switch, and disconnect it from your assistant at any time. Pausing stops new actions; it does not reverse actions already executed.

4. Artificial intelligence

4.1 The Agent uses AI models to interpret your messages, documents (such as invoices) and merchant pages. AI output can be wrong, incomplete or out of date. Check amounts, payees and references before you approve, and review the ledger regularly.

4.2 The Agent does not give financial, investment, tax or legal advice. Information it provides, including about prices, fees, markets or assets, is for information only. Decisions are yours.

4.3 We may use anonymized or aggregated usage data to improve the Service. We do not use your payment data to train third-party models.

5. Acceptable use

You must not use the Service: (a) for anything unlawful, or in breach of the Provider Terms or applicable sanctions; (b) to attempt to bypass the Policy, holds, limits or security controls, including by splitting amounts or repeated retries; (c) to access another person's account or data; (d) to reverse-engineer, scrape, probe or overload the Service; or (e) to send content that is illegal, harmful or infringing. We may refuse, hold or cancel any instruction we reasonably believe breaches this section.

6. Fees

The Service is provided to you without a software fee. Fees for payments, cards, exchange and trading are set and charged by the Provider under the Provider Terms and are shown to you before you approve an action where the rail returns a quote.

7. Your data

Our processing of your personal data is described in the Wirex group Privacy Policy at https://www.wirexapp.com/legal/one/privacy, which covers navoka.com, the Agent and the connectors. When you connect a third-party assistant, the Agent sends it only what it needs to answer you — payee, amount, rule applied and outcome — never a full card number or full IBAN.

8. Intellectual property

We or our licensors own the Service. We grant you a personal, revocable, non-exclusive license to use it under these terms. You keep ownership of content you provide; you grant us a license to use it to operate the Service. "Navoka" and the Navoka marks are our trademarks.

9. Availability and changes

9.1 We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may change, suspend or withdraw features, and may suspend your access where we reasonably suspect misuse, a security risk or a legal requirement. Where practicable we will tell you first.

9.2 We may change these terms. We will give you at least 30 days' notice of material changes by message or on navoka.com. If you do not accept a change, stop using the Service before it takes effect.

10. Our responsibility to you

10.1 We provide the Service with reasonable care and skill. Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law, including your rights under the Consumer Rights Act 2015 for digital content.

10.2 Subject to 10.1, we are not liable for: (a) acts or omissions of the Provider, a messaging platform, a third-party assistant or a merchant; (b) losses from instructions you gave or approved, or from a Policy you set; (c) losses from AI output you did not check before approving; (d) loss of profit, business or data where you use the Service for business; or (e) events outside our reasonable control.

10.3 Subject to 10.1, our total liability to you under these terms in any 12-month period is limited to the greater of £100 and the software fees you paid us in that period.

11. Ending the agreement

You can stop using the Service and disconnect the Agent at any time. We may end this agreement on 30 days' notice, or immediately if you materially breach these terms. Ending these terms does not end your relationship with the Provider; closing your account is handled under the Provider Terms.

12. Complaints

Complaints about the Agent software: support@navoka.com. Complaints about an account, card, payment or trading service, including disputes about executed payments, are handled by the Provider under the Provider Terms and complaints procedure, which include your rights to refer eligible complaints to the relevant ombudsman.

13. General

13.1 These terms are governed by the law of England and Wales. If you are a consumer living in another country you keep the protection of the mandatory rules of that country, and you may bring proceedings there or in England and Wales.

13.2 If any part of these terms is unenforceable, the rest remains in force. We may transfer our rights under these terms to another Wirex group company; you may not transfer yours without our consent. Our failure to enforce a term is not a waiver.

13.3 These terms, the Privacy Policy and the Provider Terms are the whole agreement for the Service.
